Terms and Conditions

1. Introduction

These Terms and Conditions govern the use of the Business Face website, mobile applications, and marketplace platform ("Platform").

The Platform is owned and operated by Business Face (Pty) Ltd, Registration Number 2025/434779/07, with its registered office at 89 Piet Retief Street, Hermanus, Western Cape, South Africa ("Business Face", "we", "our", or "us").

By accessing, registering on, or using the Platform, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

3. Platform Services

Business Face provides an online marketplace that enables Buyers and Sellers to transact with one another. Business Face is not the owner, manufacturer, supplier, or reseller of products listed by Sellers unless specifically stated otherwise.

Business Face acts solely as a facilitator of transactions and payment processing and may introduce additional marketplace features, advertising services, subscriptions, promotions, and premium seller accounts from time to time.

4. User Registration

Users must register an account before buying or selling on the Platform, warrant that all information provided is accurate, current, and complete, and are responsible for maintaining the confidentiality of their login credentials and all activity under their accounts.

Business Face reserves the right to suspend, restrict, or terminate accounts suspected of fraud, abuse, illegal activity, or breaches of these Terms.

5. Eligibility

Users must be at least 18 years old and legally capable of entering into binding agreements. Users under 18 years of age may only use the Platform with the consent and supervision of a parent or legal guardian.

6. Buying Process

Buyers may purchase items through the Platform using approved payment methods. Before payment is made, the Buyer will be shown:

• Product price
• Buyer Protection Fee
• Delivery fee
• Total amount payable

Payment must be completed before an Order is processed, and Buyers must provide accurate delivery information.

7. Selling Process

Sellers are responsible for ensuring that listings:

• Accurately describe the product
• Include genuine images of the product
• Disclose defects, damage, alterations, or missing parts
• Comply with all applicable laws

Sellers may only list products that they legally own or are authorised to sell. Sellers must dispatch sold items within seven (7) calendar days unless otherwise agreed and provide valid tracking information where applicable.

8. Payment and Escrow Services

Business Face operates an escrow-based payment system. Buyer funds are held in escrow until:

• Delivery is confirmed
• The applicable confirmation period expires without dispute

Once delivery is confirmed, funds are released to the Seller less any applicable fees. Business Face may delay or withhold payment if:

• A dispute has been lodged
• Fraud is suspected
• Verification requirements have not been met
• The transaction violates these Terms

Sellers may withdraw funds only after payment has been released into their wallet account.

9. Fees

Business Face may charge:

• Seller Fees
• Buyer Protection Fees
• Advertising Fees
• Premium Subscription Fees
• Withdrawal Fees

Applicable fees will be displayed on the Platform before completion of a transaction. Business Face reserves the right to amend fees upon reasonable notice.

10. Delivery

Delivery services may be provided by third-party couriers. Delivery times are estimates only. Business Face is not liable for courier delays, loss, theft, or damage occurring during transit. Buyers and Sellers agree to cooperate in resolving courier-related issues.

11. Prohibited Items

Users may not list, advertise, sell, purchase, or distribute:

• Counterfeit goods
• Stolen property
• Firearms, ammunition, weapons, or explosives
• Illegal drugs or controlled substances
• Prescription medicines
• Alcohol and tobacco products
• Dangerous chemicals
• Human remains or body parts
• Adult content
• Animals
• Fraudulent or deceptive products
• Any item prohibited under South African law

Business Face reserves the right to remove prohibited listings without notice.

12. Returns and Refunds

Buyers may dispute an Order if:

• The item was not delivered
• The item materially differs from the description
• The item is damaged upon delivery

Buyers must lodge disputes within 48 hours of delivery confirmation. Business Face may request evidence including photographs, courier records, and communication between the parties. Refunds may be approved where Business Face determines that a claim is valid. Return shipping costs may be allocated based on fault and the outcome of the dispute.

13. Dispute Resolution

Business Face may facilitate disputes between Buyers and Sellers. Users agree to cooperate fully during investigations. Business Face may:

• Release funds to the Seller
• Refund the Buyer
• Require return of goods
• Suspend accounts
• Cancel transactions

Decisions made by Business Face regarding escrowed funds shall be final unless otherwise required by law.

14. User Conduct

Users may not:

• Commit fraud
• Misrepresent products
• Harass or abuse other users
• Publish unlawful, defamatory, offensive, or discriminatory content
• Interfere with Platform operations
• Circumvent payment systems
• Conduct transactions outside the Platform to avoid fees

15. Intellectual Property

All Platform content, software, branding, logos, graphics, and intellectual property belong to Business Face or its licensors. Users may not reproduce, distribute, modify, or exploit Platform content without written permission.

By uploading content, Users grant Business Face a non-exclusive, royalty-free licence to use such content for Platform operations and marketing.

16. Privacy and POPIA

Business Face processes personal information in accordance with the Protection of Personal Information Act, 2013 ("POPIA"). Users consent to the collection, processing, storage, and sharing of personal information necessary for operation of the Platform. Personal information will not be sold to third parties. Users should review the Business Face Privacy Policy for further information.

17. Disclaimer of Warranties

The Platform is provided "as is" and "as available". Business Face makes no warranties regarding:

• Continuous availability
• Error-free operation
• Accuracy of listings
• Product quality
• Seller performance

Users use the Platform entirely at their own risk.

18. Limitation of Liability

To the fullest extent permitted by law, Business Face shall not be liable for:

• Indirect damages
• Consequential damages
• Loss of profits
• Loss of business
• Courier losses
• User misconduct

Business Face's total liability arising from any claim shall not exceed the total fees paid to Business Face in respect of the transaction giving rise to the claim.

19. Indemnity

Users agree to indemnify and hold harmless Business Face, its directors, employees, contractors, and affiliates against any claims, damages, losses, liabilities, costs, and expenses arising from:

• Breach of these Terms
• Misuse of the Platform
• Violation of laws
• Infringement of third-party rights

20. Electronic Communications

Users consent to receive communications electronically. Electronic communications satisfy any legal requirement for written communications.

21. Termination

Business Face may suspend or terminate any account at its discretion where these Terms are breached. Termination does not affect accrued rights or obligations.

22. Governing Law

These Terms shall be governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the South African courts.
