Seller Agreement

1. Purpose

This Seller Agreement governs the relationship between Business Face (Pty) Ltd, Business Face, and all users who list, market, advertise, or sell products through the Business Face Marketplace, Seller.

By creating a Seller account, listing products, or accepting orders through the Platform, the Seller agrees to be bound by this Agreement.

2. Seller Eligibility

The Seller warrants that:

• They are at least 18 years old
• They have legal capacity to enter into contracts
• They are the lawful owner of all products listed
• They have authority to sell listed products
• All information supplied is accurate and complete

3. Seller Account Verification

Business Face may require:

• South African Identity Document
• Passport for foreign nationals
• Proof of Address
• Banking Details
• Business Registration Documents
• Tax Registration Information

Business Face reserves the right to suspend accounts pending verification.

4. Product Listings

Sellers must ensure that:

• Listings are accurate
• Images represent the actual product
• Defects are disclosed
• Prices are correct
• Listings comply with South African law

Misleading or deceptive listings may be removed immediately.

5. Prohibited Items

Sellers may not list:

• Counterfeit goods
• Stolen goods
• Firearms
• Weapons
• Alcohol
• Tobacco products
• Prescription medication
• Illegal substances
• Hazardous materials
• Adult products
• Animals
• Digital products where prohibited

Business Face reserves the sole right to determine whether an item is prohibited.

6. Shipping Obligations

The Seller shall:

• Dispatch orders within 7 calendar days
• Package items securely
• Provide tracking information where available
• Cooperate in delivery investigations

7. Payment Release

Business Face operates an escrow payment model. Funds will only be released after:

• Delivery confirmation
• Expiry of the dispute period

Business Face may delay, freeze, or reverse payments where fraud or disputes are suspected.

8. Fees

The Seller agrees to pay:

• Seller Fees
• Advertising Fees
• Premium Account Fees
• Withdrawal Fees

Fees are published on the Platform from time to time.

9. Taxes

The Seller is solely responsible for:

• Income Tax
• VAT obligations
• Customs duties
• Regulatory compliance

Business Face accepts no responsibility for a Seller's tax affairs.

10. Returns

Sellers agree to comply with the Business Face Returns and Refund Policy.

11. Fraud and Abuse

Business Face may suspend or terminate accounts involved in:

• Fraud
• Chargeback abuse
• Counterfeit products
• Repeated customer complaints
• Attempts to circumvent the Platform

12. Indemnity

The Seller indemnifies Business Face against all claims arising from:

• Product defects
• Product safety issues
• Intellectual property infringement
• Misrepresentation
• Breach of law

13. Termination

Business Face may terminate Seller accounts immediately where this Agreement is breached.

14. Governing Law

This Agreement shall be governed by the laws of South Africa.
